This article examines the Italian practice with respect to ‘Representations and Warranties’ in Sale and Purchase Agreements (SPA). The author has also analysed theories and case law referred in this article in another paper published in Italian language on a leading Italian review, namely Salatino, ‘Patto di garanzia’ nel contratto di acquisizione (‘Sale Purchase Agreement’), in Giurisprudenza Commerciale 891/II (2015), no. 5. In particular, this article is a simplified version of the Italian one, and its aim is to share the analysis with non-Italian speaking practitioners to provide general information on compliance with Italian law that provisions contained in representations and warranties may trigger, and how to resolve such issues.
